1. Agreement to Terms
By creating an account on SDive, you enter into a legally binding contract with us. These Terms of Use govern your access to and use of the platform. If you represent an organization, you warrant that you have the authority to bind that entity to these terms.
2. Service Provision
SDive provides cloud-based CRM and management tools for the education sector. We reserve the right to evolve, update, or modify features at any time to improve the ecosystem. We do not guarantee permanent availability of any specific minor feature.
3. Subscriptions and Financials
3.1. Billing: Payments are processed via Lemon Squeezy and are due in advance. 3.2. Trial: We offer a 7-day premium test drive. No credit card is required to start. 3.3. Refunds: All fees are non-refundable after the trial period. 3.4. Defaults: Failure to settle invoices may result in immediate suspension of the workspace.
4. Customer Data and Ownership
You retain all ownership rights to the content you upload (Customer Data). You grant SDive a limited, worldwide license to host, process, and display your data solely for the purpose of providing the service to you.
5. Intellectual Property
The SDive brand, software architecture, UI design, and proprietary code are the exclusive property of SDive. You may not copy, modify, or attempt to reverse engineer any part of our infrastructure.
6. User Conduct and Restrictions
You agree not to: - Use the platform for any illegal or unauthorized purpose. - Circumvent any technical limitations or Seats restrictions. - Share account credentials outside of your authorized staff. - Upload malicious software, viruses, or defamatory content.
7. Dive AI and Automated Logic
Where you utilize AI-enabled features, you agree to comply with OpenAI's usage policies. Automated logic is intended to support human decision-making; final educational or financial decisions remain the responsibility of the school administrator.
8. Third-Party Integrations
SDive may facilitate connections to third-party platforms (e.g., Zoom, Telegram). We are not responsible for the performance, uptime, or data practices of these external providers.
9. Limitation of Liability
To the maximum extent permitted by law, SDive shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our services.
10. Indemnification
You agree to indemnify and hold SDive harmless from any claims, losses, or legal expenses resulting from your violation of these terms or misuse of student/teacher information.
11. Termination and Suspension
We reserve the right to terminate your access immediately for material breach of these terms. You may cancel your subscription at any time; your data will remain accessible until the end of the current billing cycle.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts located in that region.
